Welcome to INVESMATE Terms of Use agreement. For purposes of this agreement, INVESMATE (hereinafter referred to as “Company”), is a company incorporated under the Companies Act, having its registered office at Building NO 201, 2nd Floor, Griharsree E Building, Indira Gandhi Road, Konnagar, Hooghly – 712235 (Near Chalachitram More), WB.

“Site” refers to the Company’s website, which can be accessed at https://invesmate.com/learn/home or through our mobile Application (“App”).

You are advised to read and understand these Terms carefully as moving past the home page, or using any of the services shall be taken to mean that You have read and agreed to all of the policies, which constitute a legally binding agreement between you and the website and App. These terms are to be read along with the Privacy Policy and any other policies on the website and App. This Terms of Use will be effective from last date of updation.

The headings of each section in this Agreement are only for the purpose of organising the various provisions under this Agreement in an orderly manner. These headings shall not be used by either party to interpret the provisions contained under them in any manner. Further, the headings have no legal or contractual value.

Your Acceptance of Terms

By accessing and/or using the Platforms or Online Content, you agree to be bound by these Terms of Use, whether you are:

a “Visitor,” meaning you simply browse www.invesmate.com without limitation, through a mobile or other wireless device, or otherwise use the Platforms without being registered, or

a “Student,” meaning that you have registered with INVESMATE with a User ID and User Password (defined below), will complete the homework assignments and exams, and have enrolled in and paid for access to services, content, and/or certification provided by INVESMATE or its Educational Partners (defined below), attend or view lectures online and accessing final projects or assessments required for certification.

The term “User” refers to a Visitor, Registered or Paid Attendees.

For the purpose of these Terms of Use, along with any amendments to the same. The term “We”, “Us”, “Our” shall mean and refer to the website and/or the Company, depending on the context. “App” refers to INVESMATE mobile application.

You are authorized to use the educational services only if you agree to abide by all Applicable laws, rules and regulations and these Terms of Use.

IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU MAY NOT ACCESS OR USE THE EDUCATIONAL OR THE ONLINE CONTENT. INVESMATE’S ACCEPTANCE IS EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL OF THE TERMS AND CONDITIONS OF THESE TERMS OF USE, TO THE EXCLUSION OF ALL OTHER TERMS.

We reserve the right to change or modify these Terms of Use at our sole discretion at any time. Any change or modification to these Terms of Use will be effective immediately upon posting by INVESMATE on a Platform. You are responsible for periodically reviewing the most up to date version of these Terms of Use.

Your continued use of the Platforms or Online Content constitutes acceptance of any changes or modification made by us to these Terms of Use.

SERVICES OVERVIEW

The Website and the App are online platforms that provide users with courses and learning material with relation to financial market. The User shall have the option of choosing the study material and the courses that they wish to have access to and purchase the same.

Registration:

The Website is an online platform which provides users with courses and learning material with relation to finance.

To use the services provided on the website & App and to make purchases, it is compulsory to create an account. A User may create an account on the Website and the App which shall collect only Your basic information. You need to choose a username and password to create your INVESMATE Account. You must keep your account and registration details current and correct for communications related to your purchases from the Website and App.

At the time of registration, the Company shall collect the following personally identifiable information about you:

Name – including first and last name, email address, educational requirement, mobile phone number and other contact details, demographic profile (like your age, gender, address, etc.,). If you choose to link your social media account with your INVESMATE Account, we collect basic information about you from those social media platforms, such as: name, age, gender, location and e-mail address.

Information collected about you is subject to the Privacy Policy of the Company, which may be read as part and parcel of these Terms of Use.

You are solely responsible for protecting the confidentiality of your username and password and any activity under the account will be deemed to have been done by you. In the event you provide us with false/inaccurate details or the Company has a reasonable ground to believe that false and inaccurate information has been furnished, we hold the right to permanently suspend your account.

Access to your personal information

Registered users have the right to see what categories of personal information that we collect about you. It is accessible under the Profile section of the user account. However, we may withhold some information where the risk to you, your personal information, or our business is too great to disclose the information e.g. account password.

Right to request deletion of your personal information

You may also request that we delete any personal information that we have collected from/about you by sending an email to support@invesmate.com.

However, we may retain personal information as authorized under Applicable law, such as personal information required as necessary to provide our services, protect our business and systems from fraudulent activity, comply with law enforcement requests pursuant to lawful process, for our own internal purposes reasonably related to your relationship with us, or to comply with legal or financial compliance obligations.

ELIGIBILITY

Services on the Site and the App would be available to only select geographies in India. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Site and the App.

However, if you are a minor, i.e. under the age of 18 years and over the age of 13 years, you may use the Site and the App under the supervision of a parent or legal guardian who agrees to be bound by these Terms of Use. INVESMATE reserves the right to terminate or refuse your registration, or refuse to permit access to the Site and the App, if it is discovered or brought to its notice that you are a minor.

SECURITY

Transactions on the Website and the App are secure and protected. Any information entered by the User when transacting on the Website or the App is encrypted to protect the User against unintentional disclosure to third parties. The User’s credit and debit card information is not received, stored by or retained by the Company / Website/ App in any manner. This information is supplied by the User directly to the relevant payment gateway which is authorized to handle the information provided, and is compliant with the regulations and requirements of various banks and institutions and payment franchisees that it is associated with.

LICENSE AND ACCESS

The Company grants you a limited sub-license to access and make personal use of the Site and the App, but not to download (other than page caching) or modify it, or any portion of it, except with express written consent of the Company. Such limited sub- license does not include/permit any resale or commercial use of the Site and the App or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Site/ App or its contents; any downloading or copying of information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. Any portion of the Site and the App may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of the Company. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of the Website or of the Company and/or its affiliates without the express written consent of the Company. You may not use any meta tags or any other “hidden text” utilizing the Company’s name or trademarks without the express written consent of the Company. You shall not attempt to gain unauthorized access to any portion or feature of the Site or the App, or any other systems or networks connected to the Site or to any server, computer, network, or to any of the services offered on or through the Site, by hacking, ‘password mining’ or any other illegitimate means.

You hereby agree and undertake not to host, display, upload, modify, publish, transmit, update or share any information or content which:

belongs to another person and to which you do not have any right;
is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
harms minors in any way;
violates any law for the time being in force;
deceives or misleads the addressee about the origin of such messages communicates any information which is grossly offensive or menacing in nature;
contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation; or
is misleading or known to be false in any way.
frame the Platforms, place pop-up windows over its pages, or otherwise affect the display of its pages;
falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym or misrepresenting your affiliations with a person or entity, past or present;
force headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Online Content ;
interfere with or disrupt the Online Content or Programs or servers or networks connected to the Online Content or Programs, or disobey any requirements, procedures, policies or regulations of networks connected to the Online Content or Programs.

User Conduct Policy

To the extent you are registered or enrolled as a student in, or other institution with its own policy regarding student and/or employee conduct or an “honor code,” those terms shall Apply to you as a student and/or employee of such institution. Additionally, unless the following conflicts with such a policy or honor code, any User of the Online Content or Programs agrees that he or she will abide by the User Conduct Policy as listed below:

THE FOLLOWING KINDS OF CONTENT (“PROHIBITED CONTENT”) ARE STRICTLY PROHIBITED ON THE SITE:

Content that defames, harasses, discriminates against, harms or threatens others;
Content that discusses illegal activities, with the intent to commit them;
Content that infringes or misappropriates patent, trademark, trade secret, right of publicity, or other intellectual property rights of third parties;

As a condition of accessing the Platforms and/or using the Online Content or Programs, you agree not to

1. reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes any portion of the Online Content or Programs/ intellectual property rights; other than as expressly allowed under these Terms of Use;

2. use INVESMATE’s name, trademarks, service marks, or other materials in connection with, or to transmit, any unsolicited communications or emails;

The Students will not do the following activities:

Will not harass other Students, Attendees, Support Agents or Visitors;
Will not post online any Secured Testing Materials (as defined below);
Will not share solutions to homework assignments or exams; and Will notify the instructors immediately if he or she becomes aware of any other User cheating or breaching these Terms of Use.

And will comply with the requirements of the specific Applicable code of conduct, if any, relating directly to a Program in which such User is enrolled.

Third Party Links

INVESMATE does not accept any responsibility towards the contents and/or information practices of third party Sites which have links through INVESMATE’s Site and the App. The said links to internal or external Web site locations are only for the purpose of facilitating your visit or clarify your query.

COMMUNICATIONS

By using this Website or App, it is deemed that you have consented to receive calls, auto-dialed and/or pre-recorded message calls, e-mails, whatsapp, telegram messages from Us at any time with the use of the telephone number and e-mail address that has been provided by you for the use of this website and the App which are subject to the Privacy Policy. The user agrees to receive promotional communication and newsletters from the Company.

This includes contacting you through information received through other parties. The use of this website and the App is also your consent to receive SMSs from Us at any time we deem fit. This consent to be contacted is for purposes that include and are not limited to clarification calls and marketing and promotional calls.

You may also be contacted by Service Providers with whom we have entered into a contract in furtherance of our rights, duties and obligations under this document and all other policies followed by Us. Such contact will be made only in pursuance of such objectives, and no other calls will be made. The sharing of the information provided by you will be governed by the Privacy Policy and we will not give out such contact information of yours to third parties not connected with the Website or the App.

PAYMENT

The following payment options are available on the Application:

Domestic and international credit cards issued by banks and financial institutions that are part of the Visa, Master Card & Amex Card networks;
Visa & Master Card Debit cards;
Netbanking/Direct Debit payments from select banks in India. A list of available options will be made available at the time of ‘checkout’.

As prescribed by the financial institutions issuing the credit or debit cards affiliated with Visa / Master Card / Amex, the User will be required to submit his/her 16-digit card number, card expiry date and 3-digit CVV number (usually on the reverse of the card) while making an online transaction. The User must also have enrolled his/her card with VBV (Verified by Visa), MSC (MasterCard Secure Code) or any other applicable provider in order to complete the transaction. The User is hereby expressly made aware that his/her card statements will reflect that a payment has been made in favour of the Company.

The User is further aware that in case of third party statements, including bank and credit card statements, the merchant name may appear in an abbreviated format, and the Company has no control over the same. To successfully subscribe on the Website, the User is required to complete the transaction by making the payment for the services opted for.

PRICING

The membership of this website is free and this includes the browsing of the site and the App. However, we reserve the right to amend the charges for the services rendered. In a case that such happens, Users will be intimated of the same, and it will be up to you to decide whether or not you will continue with services offered by us. Such changes are effective as soon as they are posted on the Site and the App. The courses and materials on the Website and the App will have to be paid for.

FRAUDULENT ACTIVITY

We strongly discourage you from availing any service, including promotional offers and discounts, from individuals or entities that may be pretending or masquerading as Company’s representative/partner/affiliate (hereinafter referred as “actors”) in any manner or otherwise, as this is not endorsed or permitted by the company and you run the risk of fraud by indulging in the same. We are not responsible for any activity or transactions that you undertake with such fraudulent actors and we are not liable for any charges/payments that you might have paid to them.

TERMINATION

This User Agreement is effective unless and until terminated by either you or the Company. You may terminate this User Agreement at any time, provided that you discontinue any further use of the Website or the App. The Company may terminate this User Agreement at any time and may do so immediately without notice, and accordingly deny you access to the Site and the App.

Such termination will be without any liability to the Company. The Company’s right to any Comments and to be indemnified pursuant to the terms here of, shall survive any termination of this User Agreement. DISPUTES AND JURISDICTION

All disputes involving but not limited to rights conferred, compensation, refunds, and other claims will be resolved through a two-step Alternate Dispute Resolution mechanism.

Stage 1: Mediation. In case of a dispute, the matter will first be attempted to be resolved by a sole mediator who is a neutral third party and will be selected at the mutual acceptance of a proposed mediator by both parties. Both parties may raise a name for the sole mediator and in the case both parties accept the proposed name, the said person shall be appointed as sole mediator. In case the parties are not able to reach a consensus within two proposed mediators, the Company reserves the right to decide who the final mediator is. The decision of the mediator is not binding on both parties.
Stage 2: Arbitration. In case that mediation does not yield a result suitable or preferred by any one of the parties, arbitration may follow, the award of which is binding on both parties. The Arbitration Board shall comprise three members – one appointed by each party and the third member to be nominated by the two appointed members by mutual consent. Arbitration shall be held at Kolkata, India. The proceedings of arbitration shall be in the English language. The arbitrator’s award shall be final and binding on the Parties.
If the dispute cannot be resolved by this two-step Alternate Dispute Resolution mechanism, it shall be referred to the courts at Kolkata, India.

Please also note that certain information, statements, data and content (such as but not limited to photographs) which You provide on the Website are likely to reveal Your gender, ethnic origin, nationality, age, and/or other personal information about You. MISCELLANEOUS PROVISIONS

Waiver: The failure of either party at any time to require performance of any provision of this Agreement in no manner shall affect such party's right at a later time to enforce the same. No waiver by either party of any breach of this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or construed as, a further or continuing waiver of any other such breach, or a waiver of any other breach of this Agreement.
Severability: If any provision of this Agreement shall to any extent be held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of this Agreement shall in no way be affected or impaired thereby and each such provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. In such a case, this Agreement shall be reformed to the minimum extent necessary to correct any invalidity, illegality or unenforceability, while preserving to the maximum extent the rights and commercial expectations of the parties hereto, as expressed herein.

All rights not expressly granted herein are reserved. INVESMATE shall have no responsibility for any damage to a User’s computer system or loss of data that results from the download of any content, materials, or information from the Site and App.
INVESMATE may change or discontinue any aspect of its Website and App at any time, including its content or features. INVESMATE reserves the right to change the terms and conditions applicable to the use of the Site and App. Such changes shall be effective immediately upon notice, which shall be placed on the Site and App.
In no event will INVESMATE be liable for damages of any kind, including without limitation, direct, incidental or consequential damages (including, but not limited to, damages for lost profits, business interruption and loss of programs or information) arising out of the use of or inability to use INVESMATE ‘s Website and App, or any information provided on the Website and App, or in the Products any claim attributable to errors, omissions or other inaccuracies in the Product or interpretations thereof. Some jurisdictions do not allow the limitation or exclusion of liability. Accordingly, some of the above limitations may not apply to the User.
The User agrees to indemnify, defend and hold INVESMATE harmless from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, arising out of or relating to any misuse by the User of the content and services provided on the Site and App.
The information contained in the Site and App has been obtained from sources believed to be reliable. INVESMATE disclaims all warranties as to the accuracy, completeness or adequacy of such information.
INVESMATE makes no warranty that:

For Recorded class: This is to inform you that for recorded classes fees will not be refunded at any situation whatsoever.
For Invesmentor & any subscription based service: Please note, Invesmentor and any subscription based service fees paid by any candidate is non-refundable in any situation whatsoever. However, if anyone purchases a Course , where a subscription based service is included as a package, then, in that situation, the purchaser can claim refund for total course fees.
Eligibility Period: The student may request a refund for our live classes only after the first class of the course obtained with a valid reason. The request should be mailed from registered mail id of the student to support@invesmate.com only within 24 hours from the completion of first class.
SEAT BOOKING OR REGISTRATION CHARGES are NON-REFUNDABLE- Any Seat booking charges, Which has been paid for any courses, shall not be refunded in any situation. Only the remaining paid amount after seat booking charges can be refunded excluding GST and convenience charges.
Refund Process: Upon receiving your written refund request, we will review it in a timely manner. If your request meets the eligibility criteria, we will process your refund within 7 to 10 business days. Refunds will be made to the original payment method used for the purchase excluding GST and convenience charges.
Refund Denial: We reserve the right to deny a refund request if it does not meet the eligibility criteria stated above. Common reasons for denial may include, but are not limited to:

Request received after the eligibility period has expired.
Completion of the second class or session of the course.
Failure to provide the necessary information and proof of purchase.
Tax amount or convenience charges will not be refunded in any case whatsoever
