This Terms of Use (“Terms”, “Agreement”) is a legally valid and binding electronic contract under Section 10A of the Information Technology Act, 2000 and the Indian Contract Act, 1872, executed between:

INVESMATE INSIGHTS PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at 5 Narendra Nagar, Near Railway Booking Office, P.O. Belghoria, Kolkata – 700056, and branch offices at 137/1 B.T. Road, Dunlop, 2nd Floor, Nanaksar Tower, Above Bandhan Bank, P.S. Baranagar, Kolkata – 700108 (hereinafter referred to as “INVESMATE”, “Company”, “We”, “Us”, or “Our”),

AND

Any individual accessing, browsing, registering, or using the website https://invesmate.com or the INVESMATE mobile application (hereinafter referred to as “User”, “You”, or “Your”).

1. SCOPE, ACCEPTANCE & ELECTRONIC RECORD

1.1 These Terms govern access to and use of the Platform, including all services, content, features, payments, and communications.

1.2 By accessing, registering, making payment, clicking “I Agree”, or continuing to use the Platform, the User expressly, knowingly, and unconditionally agrees to be bound by these Terms and all policies referenced herein.

1.3 This Agreement is an electronic record and does not require physical or digital signatures.

2. ELIGIBILITY & LEGAL CAPACITY

2.1 Users must be legally competent to contract under the Indian Contract Act, 1872.

2.2 Minors between 13 and 18 years may use the Platform only under supervision of a parent or legal guardian, who shall be deemed responsible for compliance and liability.

2.3 INVESMATE reserves the absolute right to refuse or terminate access if eligibility is violated.

3. NATURE OF SERVICES – STRICTLY EDUCATIONAL

3.1 INVESMATE, a division of INVESMATE INSIGHTS PVT LTD is solely an educational and training platform.

3.2 INVESMATE INSIGHTS PVT LTD is registered with the Securities and Exchange Board of India (SEBI) and act as:

  • Investment Adviser
  • Research Analyst

BUT NOT AS:

  • Stock Broker
  • Portfolio Manager
  • Distributor or Market Intermediary

3.3 No content on the Platform constitutes:

  • Investment advice,
  • Trading calls,
  • Research recommendations,
  • Solicitation or assurance of returns.

3.4 Any investment decisions made by the User are taken entirely at the User’s own discretion and risk. Users are advised to consult SEBI-registered intermediaries before investing.

4. REGISTRATION, ACCOUNT & SECURITY

4.1 Registration is mandatory for accessing paid services.

4.2 Users are solely responsible for safeguarding login credentials and all activities carried out under their account.

4.3 INVESMATE shall not be liable for losses arising from unauthorized access caused due to User negligence.

4.4 INVESMATE may suspend or terminate accounts without notice if false, misleading, or incomplete information is provided.

5. PAYMENTS, NON-REFUND & PRICING

5.1 All payments are processed through RBI-authorized payment gateways.

5.2 All fees once paid are final, non-cancellable, and non-refundable, irrespective of course completion, dissatisfaction, non-usage, or account termination, unless refund is expressly mandated by law.

5.3 Prices may be revised prospectively at the Company’s discretion.

6. DATA PROTECTION & DPDP ACT, 2023 COMPLIANCE

6.1 INVESMATE acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (“DPDP Act”).

6.2 Personal Data is collected and processed for lawful purposes including registration, service delivery, payment processing, communication, customer support, compliance, and fraud prevention.

6.3 By using the Platform, the User, as a Data Principal, provides free, specific, informed, and unconditional consent for processing of Personal Data in accordance with the DPDP Act.

6.4 INVESMATE may collect identity, contact, educational, technical, and usage data voluntarily provided by the User.

6.5 Reasonable administrative, technical, and physical safeguards are implemented to protect Personal Data.

6.6 Personal Data shall not be sold and shall be shared only with:

  • Authorized service providers,
  • Payment gateways,
  • Government or statutory authorities where legally required.

6.7 The User has the right to:

  • Access personal data,
  • Request correction or erasure,
  • Withdraw consent (subject to legal obligations),
  • Nominate a representative,
  • Raise grievances.

6.8 Data shall be retained only for as long as necessary or as required by law.

7. INTELLECTUAL PROPERTY

7.1 All content, materials, trademarks, and software are proprietary to INVESMATE and protected under the Copyright Act, 1957 and Trademark Act, 1999.

7.2 Unauthorized copying, recording, sharing, or commercial exploitation is strictly prohibited and may attract civil and criminal liability.

8. USER CONDUCT

Users shall not:

  • Upload illegal, defamatory, obscene, or misleading content;
  • Share course material or assessments;
  • Use bots, scrapers, or automation tools;
  • Impersonate any person or entity;
  • Violate applicable laws.

Violation may result in immediate termination and legal action.

9. DISCLAIMER OF WARRANTIES

The Platform and content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, including accuracy, profitability, or fitness for purpose.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • INVESMATE shall not be liable for indirect, incidental, consequential, or punitive damages.
  • Total liability shall not exceed the amount paid by the User in the preceding 12 months.

11. INDEMNITY

The User agrees to indemnify and hold harmless INVESMATE, its directors, employees, and affiliates from all claims, losses, penalties, and legal costs arising from breach of these Terms or violation of law. This clause shall survive termination.

12. TERMINATION

12.1 INVESMATE may suspend or terminate access at any time, with or without notice, for breach, misuse, legal risk, or regulatory reasons.
12.2 Termination shall not affect accrued liabilities or payment obligations.

13. DISPUTE RESOLUTION & JURISDICTION

13.1 Disputes shall first be attempted to be resolved through mediation.

13.2 Failing mediation, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

13.3 Courts at North 24 Parganas, West Bengal shall have exclusive jurisdiction.

14. MISCELLANEOUS

  • Severability: Invalid provisions shall not affect remaining clauses.
  • Waiver: Failure to enforce shall not constitute waiver.
  • Entire Agreement: These Terms constitute the complete agreement between parties.

Your use of INVESMATE’s services, websites and app is subject to the terms of a legal agreement between you and INVESMATE. “INVESMATE” whose registered office is at 201, Indira Gandhi Road, New Grihashree-E Building (2nd Floor) Near Cholochitram More, Konnagar, West Bengal 712235. Terms & Conditions for Using this INVESMATE Site & App:

  • All the information or observations available on the INVESMATE Website and App is only used for educational study purpose.
  • Capital market is always associated with risk, so before investing or taking any position in the capital market, kindly research independently or consult your financial advisor.
  • The F&O segment in the stock market is much riskier than the cash market, a high risk-reward ratio is associated with this segment. Any wrong move in the F&O trading can put you in deadly losses, and even destroy your wealth in a shorter period of time, so be very careful about your investment and trading decisions.
  • Currency Market market is presently unregulated in India & a highly risky market. So, all the views are only observations of the respective market segment.
  • INVESMATE Website and App is using authorized data source of information, for educational updates. Some of the data sources we are using currently are market data as shown in stock exchanges, company filling data in NSE or BSE, AMFI , SEBI , RBI, FADA etc.
  • Under this User Agreement, you assume all risk of errors and/or omissions in INVESMATE Website and App, including the transmission or translation of information. You assume full responsibility for implementing sufficient procedures and checks to satisfy your requirements for the accuracy and suitability of INVESMATE Website and App.
  • In INVESMATE App section, under “Live Market Chat Support” or “Portfolio Checkup”, we try to give you our observation based on your inputs on stipulated timeline. However, kindly note that INVESMATE is not responsible for delay in any reply.
  • INVESMATE reserves all the rights to amend the terms & conditions on a periodical internal review basis and it may cancel your membership at any time.

Refund & Cancellation Policy

INVESMATE is committed to providing high-quality services and ensuring customer satisfaction. This Refund Policy outlines our guidelines regarding refunds for our services, with specific conditions to be aware of. Please read this policy carefully before making a purchase. By using our services, you are agreeing to the terms and conditions of this Refund Policy.

Refund Eligibility in case of payment mode:

  • Refund is eligible for modes all UPI, net banking, Debit Card payment, Credit Card payment and Cash only.
  • Refund request shall not be accepted if the payment is made by following mode as follows Debit Card EMI, Credit Card EMI, Education Loan (Finance).

Refunds are subject to the following conditions:

  • For Recorded class: This is to inform you that for recorded classes fees will not be refunded at any situation whatsoever.
  • For Invesmentor & any subscription based service: Please note, Invesmentor and any subscription based service fees paid by any candidate is non-refundable in any situation whatsoever. However, if anyone purchases a Course , where a subscription based service is included as a package, then, in that situation, the purchaser can claim refund for total course fees.
  • Eligibility Period: The student may request a refund for our live classes only after the first class of the course obtained with a valid reason. The request should be mailed from registered mail id of the student to support@invesmate.com only within 24 hours from the completion of first class.
  • SEAT BOOKING OR REGISTRATION CHARGES are NON-REFUNDABLE- Any Seat booking charges, Which has been paid for any courses, shall not be refunded in any situation. Only the remaining paid amount after seat booking charges can be refunded excluding GST and convenience charges.
  • Refund Process: Upon receiving your written refund request, we will review it in a timely manner. If your request meets the eligibility criteria, we will process your refund within 7 to 10 business days. Refunds will be made to the original payment method used for the purchase excluding GST and convenience charges.
  • Refund Denial: We reserve the right to deny a refund request if it does not meet the eligibility criteria stated above. Common reasons for denial may include, but are not limited to:
  • Request received after the eligibility period has expired.
  • Completion of the second class or session of the course.
  • Failure to provide the necessary information and proof of purchase.
  • Tax amount or convenience charges will not be refunded in any case whatsoever
